These terms govern all web development, administrative dashboard, API architecture, cloud infrastructure, and related digital services provided by ClearCopyVoice.
2. Scope of Services
ClearCopyVoice provides high-performance web framework development, tailored administrative dashboards, real-time data pipeline architecture, API design, cloud infrastructure provisioning, database optimization, frontend engineering, security hardening, and performance auditing services. The exact scope, deliverables, timeline, and pricing for each engagement are defined in a separate Project Proposal or Statement of Work (SOW) agreed upon by both parties.
3. Project Proposals and Statements of Work
Each project commences with a detailed Project Proposal or SOW that outlines: (a) the specific deliverables; (b) project timeline and milestones; (c) fixed pricing and payment schedule; (d) acceptance criteria; and (e) any special conditions. The SOW becomes a binding supplement to these Terms once signed or digitally accepted by both parties.
4. Payment Terms
• Payment schedules are specified in the relevant SOW.
• Invoices are payable within 14 calendar days of issuance unless otherwise agreed.
• Late payments incur a statutory interest rate of 8% above the ECB base rate, in accordance with EU Directive 2011/7/EU on late payments.
• ClearCopyVoice reserves the right to suspend work on any project where payments are overdue by more than 15 days.
5. Intellectual Property
• Upon full payment, all intellectual property rights for the delivered work product (source code, designs, configurations, documentation) are transferred to the Client.
• ClearCopyVoice retains the right to use general methodologies, frameworks, and non-proprietary tools developed during the engagement for future projects.
• Third-party libraries and open-source components remain subject to their respective licenses.
6. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information shared during the engagement. This obligation survives the termination of the agreement for a period of 3 years. Confidential information includes but is not limited to business strategies, technical architectures, source code, user data, and financial information.
7. Limitation of Liability
ClearCopyVoice's total aggregate liability under any engagement shall not exceed the total fees paid by the Client for the specific project giving rise to the claim. ClearCopyVoice shall not be liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
8. Warranty
ClearCopyVoice warrants that all deliverables will conform to the specifications outlined in the applicable SOW for a period of 90 days following project delivery ("Warranty Period"). During this period, we will remedy any defects in workmanship at no additional charge. This warranty does not cover issues arising from unauthorized modifications, third-party integrations, or changes in external service providers.
9. Termination
• Either party may terminate the agreement with 30 days' written notice.
• The Client is liable for payment of all work completed up to the date of termination.
• ClearCopyVoice will deliver all completed work products upon receipt of outstanding payments.
• Termination for cause (material breach) may be effected immediately upon written notice if the breach remains uncured for 15 days.
10. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from causes beyond reasonable control, including but not limited to natural disasters, pandemics, government actions, internet outages, or cyberattacks. The affected party must notify the other party within 48 hours of the force majeure event.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of the Kingdom of Spain and the European Union. Any disputes arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Santander, Spain. Both parties may also opt for mediation or arbitration under the rules of the Spanish Arbitration Board before initiating court proceedings.
12. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
13. Entire Agreement
These Terms, together with any applicable SOW, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter.
Refund & Reimbursement Policy
1. General Refund Principles
ClearCopyVoice is committed to delivering high-quality web development services that meet the specifications agreed upon in the applicable Statement of Work (SOW). We recognize the importance of fair and transparent refund practices in compliance with Spanish consumer protection law (Real Decreto Legislativo 1/2007) and EU Directive 2011/83/EU on consumer rights.
2. Project-Based Refund Eligibility
Refunds are evaluated based on project milestones and the stage of completion:
• Pre-Development Cancellation (Before Work Begins): If the Client cancels the project before any development work has commenced, a full refund of any advance payments will be issued within 14 business days.
• Partial Completion: If a project is cancelled after work has begun, the Client is entitled to a proportional refund based on the percentage of incomplete work relative to the total project scope. ClearCopyVoice will provide a detailed breakdown of completed vs. remaining work.
• Post-Delivery Disputes: If the delivered work does not materially conform to the specifications in the SOW, the Client must notify ClearCopyVoice within 14 calendar days of delivery. ClearCopyVoice will have 30 days to remedy the issue. If remediation is unsuccessful, a partial or full refund will be issued at ClearCopyVoice's discretion.
3. Non-Refundable Items
The following are not eligible for refund:
• Third-party costs incurred on behalf of the Client (domain registrations, hosting fees, software licenses, stock assets) that have already been paid to the respective provider.
• Work completed and approved by the Client at intermediate milestones.
• Services rendered under a monthly maintenance retainer, where notice of cancellation has not been provided at least 15 days before the next billing cycle.
4. Refund Process
To request a refund, the Client must:
• Submit a written refund request to [email protected] with a description of the reason for the refund.
• Provide the project reference number and relevant invoice details.
• Allow ClearCopyVoice up to 14 business days to review and respond to the request.
Approved refunds will be processed to the original payment method within 14 business days of approval.
5. Dispute Resolution
In the event of a refund dispute that cannot be resolved through direct communication, both parties agree to attempt mediation through an independent mediator in Santander, Spain, before initiating formal legal proceedings. This does not affect the Client's statutory rights under EU consumer protection legislation.
6. Statutory Rights
Nothing in this Refund Policy limits or excludes your statutory rights under applicable consumer protection laws in Spain and the European Union. If you are a consumer (natural person acting for purposes outside your trade, business, craft, or profession), you may have additional rights that cannot be waived by contract.
